Terms & Conditions

Welcome to www.dgtpixel.com (“Website”). DGT Pixel Global Private Limited (“DGT Pixel Global”) is the owner of the brand DGT Pixel and the www.dgtpixel.com (“Website”).

1. Definitions

• Client: Refers to the individual or business engaging the services of DGT PIXEL GLOBAL PRIVATE LIMITED.
• Agency: Refers to DGT PIXEL GLOBAL PRIVATE LIMITED, providing services to the client.
• Services: Refers to all services provided by DGT PIXEL GLOBAL PRIVATE LIMITED, including but not limited to:

• •  Graphic Designing: Logo, UI/UX, Website design, Social media posts, Flex, Banners, etc.
  • Website Development: Static, Dynamic, E-Commerce
  • Digital Marketing: SEO, Ad-Sense (Google Ads & Facebook Ads), Social media handling.
  • Photography & Cinematography: Branding/Product Shoot, Video shoot for social media.
    

2. Services and Scope

• DGT PIXEL GLOBAL PRIVATE LIMITED agrees to provide services as outlined in the project proposal, contract, or agreement.
• Any services requested beyond the agreed scope will require a new agreement or an amendment to the existing one.

3. Fees and Payment Terms

• Payment terms will be outlined in the project proposal or contract.
• A 25% advance payment is required before work commences on any project.
• The Client will be responsible for making all purchases for tools, plugins, or software required under the Basic Plan & PRO Plan.
• DGT PIXEL GLOBAL PRIVATE LIMITED will only hand over the completed project, along with all associated deliverables, after receiving full payment.
• All payments must be made according to the payment schedule agreed upon in the project proposal or contract.
• International transactions are subjected to currency fluctuation.
• Any delay in payment will result in a late fee of 5% per day after the agreed payment deadline.
• Client has no right to charge interest in case of delay in delivering the project due to any technical or procedural issues.

4. Intellectual Property

• Upon full payment, the Client will own the intellectual property rights to the final deliverables produced by DGT PIXEL GLOBAL PRIVATE LIMITED.
• DGT PIXEL GLOBAL PRIVATE LIMITED retains ownership of all preliminary designs, concepts, or strategies.
• The Client is responsible for ensuring that any materials they provide do not infringe on third-party rights.

5. Confidentiality

• Both DGT PIXEL GLOBAL PRIVATE LIMITED and the Client agree to keep confidential any proprietary or sensitive information shared during the project.

6. Client Responsibilities

• The Client agrees to provide all necessary materials, content, and feedback required to complete the project in a timely manner.
• The Client is responsible for ensuring the accuracy and legality of the materials they provide, including images, text, and any digital assets.

7. Cancellation and Refunds

• Cancellation by the Client: The Client may choose to cancel the project at any time by providing prior written notice to DGT PIXEL.
  • If cancellation occurs before work has commenced, the Client may be entitled to a partial refund of the advance payment, minus any administrative fees.
  • If cancellation occurs after work has commenced, no refunds will be provided for the advance payment, and the Client has to pay the entire amount mentioned in the agreement as DGT PIXEL GLOBAL PRIVATE LIMITED’s discretion and the proportion of the work already performed and deliverables has been transferred to the Client.

• Cancellation by DGT PIXEL: DGT PIXEL GLOBAL PRIVATE LIMITED reserves the right to terminate the contract if the Client fails to make payments, provides incomplete or inaccurate information, or otherwise breaches the agreed terms. In such cases, the Client will be invoiced for work completed up to the date of termination, and no refunds will be issued.
• Refund Eligibility: Refunds are generally not available for completed services. In exceptional cases, where DGT PIXEL GLOBAL PRIVATE LIMITED is unable to deliver the agreed services due to circumstances within the Agency’s control, the Client may be eligible for a partial refund, subject to review.
• No Refunds on Approved Deliverables: Once deliverables are approved by the Client, all payments are non-refundable. Any subsequent revisions or changes will be treated as a new project or service.
• Refund Request Procedure: The Client must submit any refund requests in writing within 5 days of the issue that prompts the refund request. DGT PIXEL GLOBAL PRIVATE LIMITED will review the request and respond within 7 business days.

8. Revisions and Approvals

• DGT PIXEL GLOBAL PRIVATE LIMITED will provide 5 revisions for the deliverables.
• Additional revisions beyond the agreed limit will incur extra charges.
• Once final approval is given, DGT PIXEL GLOBAL PRIVATE LIMITED is not liable for any errors or changes that may arise, until client has purchased the Maintenance.

9. Termination

• Either party may terminate the agreement by providing 5 days’ written notice.
• In the event of termination, the Client is responsible to pay the whole amount, finalised in the contract.
• DGT PIXEL GLOBAL PRIVATE LIMITED reserves the right to terminate the contract if the Client fails to meet their obligations, including timely payments or providing necessary materials.

10. Limitation of Liability

• DGT PIXEL GLOBAL PRIVATE LIMITED is not liable for any indirect, incidental, or consequential damages resulting from the use of the deliverables or services.
• The Client agrees to indemnify and hold DGT PIXEL GLOBAL PRIVATE LIMITED harmless from any legal issues arising from the materials or content provided by the Client.

11. Privacy Policy

DGT PIXEL GLOBAL PRIVATE LIMITED is committed to protecting the privacy and confidentiality of its clients. The following outlines our approach to data collection and usage:

• Data Collection: DGT PIXEL GLOBAL PRIVATE LIMITED collects personally identifiable information (PII) from clients, including but not limited to, names, email addresses, phone numbers, and payment information, necessary for the provision of services.
• Use of Information: The information collected will be used exclusively for service provision, project management, communication, billing, and any other activities directly related to the delivery of agreed services.
• Third-Party Disclosure: DGT PIXEL GLOBAL PRIVATE LIMITED will not share, sell, or disclose any personal data to third parties except where necessary to fulfil the services, such as with third-party vendors, or as required by law.
• Data Security: DGT PIXEL GLOBAL PRIVATE LIMITED employs industry-standard security measures to protect the personal data of clients from unauthorized access, alteration, disclosure, or destruction.
• Client Rights: Clients have the right to access, correct, or request the deletion of their personal data at any time. To exercise these rights, the Client must submit a request in writing to support@dgtpixel.com.
• Cookie Policy: DGT PIXEL GLOBAL PRIVATE LIMITED may use cookies or similar tracking technologies on its website to enhance the user experience. Clients may adjust their browser settings to disable cookies if preferred.

12. Warranty

• DGT PIXEL GLOBAL PRIVATE LIMITED guarantees that all services will be carried out with reasonable care and professionalism.
• However, no guarantees are made regarding the performance or results of digital marketing campaigns or SEO services.

13. Force Majeure

• DGT PIXEL GLOBAL PRIVATE LIMITED will not be held responsible for delays or non-performance due to unforeseen circumstances beyond its control, including but not limited to natural disasters, technical failures, or other disruptions.

14. Governing Law

• This agreement is governed by the laws of Haryana jurisdiction, and any disputes will be resolved in the district courts of Rohtak, Haryana.

15. Amendments

• DGT PIXEL GLOBAL PRIVATE LIMITED reserves the right to amend these terms and conditions, with prior notice to the Client when necessary.

16. Entire Agreement

• These terms and conditions constitute the entire agreement between DGT PIXEL GLOBAL PRIVATE LIMITED and the Client, superseding any prior agreements or understandings.
